What is the best company structure for a not-for-profit?

Generally, there are two key choices when it comes to the company structure for a not-for-profit, “Incorporated Association” (IA) and “Company Limited by Guarantee” (CLG).

IA’s are organisations that are incorporated under state and territory laws. This means that IA’s around Australia have different requirements and obligations depending on what state it has been incorporated under.

IA’s can only operate and conduct activities in the state in which it was incorporated.

CLGs, on the other hand, are established under federal law, the Corporations Act 2001 (Cth). This means that these companies can operate anywhere in Australia.

What are the benefits of becoming a registered charity?

Registering as a charity in Australia offers some tax exemptions. It allows further access to funding opportunities, such as adding credibility to grant applications.

It also allows the organisation to use the ACNC charity tick on marketing material.

Perhaps most importantly however, some organisations will be able to apply for endorsement as a “deductible gift recipient” if they first become a charity.

What are "Deductible Gift Recipients" and what are the benefits?

"Deductible Gift Recipients" (DGRs) are organisations that are eligible to receive tax-deductible donations. When individuals or businesses make donations to DGRs, they can claim a tax deduction for the amount of the donation, reducing their taxable income.

This tax benefit encourages charitable giving and supports the work of the organisations.

Not all charities are eligible for DGR status, and eligibility criteria can vary depending on the specific DGR category. The ATO and ACNC regulate DGR status, and organisations must meet certain requirements related to their purpose, governance, and activities.
